Understanding the Florida Invest Local Statute

Chapter 517 lets a Florida business raise capital directly from Florida residents: up to $500,000 under the Invest Local Exemption (§ 517.0612) or up to $5,000,000 under the Florida Limited Offering Exemption (§ 517.0611), with an OFR-registered intermediary required above $2,500,000. Investors must be Florida residents, funds go to a Florida depository named in your disclosure, and every announcement states the Florida-only limitation.

Submit the capital-readiness application. It tells us about the company, the proposed offering, your disclosure information and your legal readiness. It is reviewed by StateCF; the readiness checklist and recommendations come back to you.

Step 2: Schedule Your Onboarding Appointment

After review, we schedule an onboarding appointment to walk through your goals, the exemption that fits (§ 517.0612 up to $500,000 or § 517.0611 up to $5,000,000), and the timeline.

Step 3: Prepare Your Offering

Prepare the presentation room, the tombstone ad, the disclosure statement and the deposit-account instruction. StateCF and its AI tools check the file for antifraud and Chapter 517 fit. You file your notice with the OFR through REAL.
