Understanding Invest Local Act Requirements

Florida Company Eligibility

The issuer itself must meet Florida's intrastate requirements, including Florida formation, a principal place of business in Florida and primarily Florida operations and revenue. Registering to do business in Florida, filing a notice or using proceeds here does not make an out-of-state company eligible. StateCF explains the pathway; it cannot promise eligibility, which is a question for the issuer's counsel.

Funding Limits

Up to $500,000 under the Invest Local Exemption (§ 517.0612) and up to $5,000,000 under the Florida Limited Offering Exemption (§ 517.0611) in a 12-month period.

Investor Guidelines

Florida residents only. Non-accredited investors are limited to $10,000 per 12-month period under § 517.0612; accredited Florida residents are not subject to that cap.

StateCF, operating as a DBA of Sprowtt Inc., is a Florida OFR-registered intermediary. Our mission is to help Florida business owners raise capital faster, with less stress and more cost-effectively, by simplifying the documentation and the fundraising workflow, and to give Florida investors a transparent place to review those offerings.

Our founder helped shape the JOBS Act's capital-formation rules alongside Congress and the SEC and operated an SEC-registered, FINRA-member Regulation CF portal. He saw the federal path become too expensive for many companies, and built StateCF for the affordable state alternative: intrastate crowdfunding, with a lighter regulatory burden and a Florida-only audience.

We review every issuer application and conduct bad-actor screening of officers, directors and 20% holders under § 517.0616.

We exercise due diligence to establish a reasonable belief that issuers comply with Chapter 517 and applicable federal and state law.
